This paper summarizes the principal provisions of the URDG 758, relevant jurisprudence and practice and other relevant material and makes specific reference to the most significant differences between the obligations of a guarantor and a standby party.

This paper examines the current state of practice on the obligation of a guarantor, under Article 6.10 of the current URDG 758, to pay as well as its obligation under Article 6.8 to honour the obligation of the other party, i.e. the beneficiary, to pay. Drawing on case law, jurisprudence and industry practice, this paper provides an analysis of the obligations of a guarantor under the URDG 758. It is shown that the obligation to pay falls to the guarantor during the “time of grace”. It may be paid by applying collateral towards the guarantee, but there is no obligation for the guarantor to pay in full once the obligation has matured. This is especially the case where the collateral is insufficient to pay the full amount of the obligation. The guarantor’s obligation under Article 6.8, to pay when the beneficiary fails to honour its debt obligation, is strictly “visitationary” and does not require the guarantor to pay under the URDG 758.

This paper considers the particularities and challenges of the provision of a reified claim guarantee under the URDG 758 and addresses the consequences of the provision of a reified claim guarantee. It is shown that a reified claim guarantee and a standby guarantee are fundamentally different, especially with respect to their characteristics and obligations. In order to illustrate the fundamental differences of a reified claim guarantee to a standby guarantee, the paper provides a scenario of a reified claim guarantee. The paper is completed with a discussion of the potential liabilities, by a reified claim guarantee under the URDG 758, of third parties, called “intermediaries”, which act as transmitters of information and facilitate an exchange of messages between parties.
